Has any one ever purchased a multifamily building as a stock sale? I am currently conducting my due diligence work on a 40 unit apt. bldg. but the seller wants me to buy it via a stock sale. I want to know the pros and the cons. of doing this. Also, how can I negotiate to my benefit with the sellers since there are 4 owners and they are set up as a Coroporation and don't want to get hit with double taxation. Thanks..
